1. Acceptance of Terms

Welcome to EarnTalk. These Terms of Service (the “Terms”) are entered into between you and EarnTalk Inc (“EarnTalk,” “we,” “us,” or the “Company”), a corporation organized under the laws of the State of Wyoming, United States of America, with its registered office at 30 N Gould St Ste R, Sheridan, WY 82801, USA.

These Terms govern your access to and use of our artificial intelligence services, including the services described in Section 2, available through https://www.earntalk.app (collectively, the “Service”).

By creating an account, subscribing to a plan, purchasing credits, or otherwise using the Service, you confirm that: (a) you are at least 18 years of age; (b) you have read, understood, and agree to be bound by these Terms; (c) you agree to our Privacy Policy; and (d) you have the authority to enter into this agreement on your own behalf or on behalf of the organization you represent.

Important: If you do not agree to these Terms, please stop using the Service. Your continued use of the Service after an update to these Terms takes effect constitutes acceptance of the revised Terms.

2. Description of Service

2.1 What we provide

EarnTalk provides connectors and third-party applications for Personal Agents. Our initial product is an AI-native transaction platform for creators, bloggers, artists, and artisans, on which each creator’s personal agent operates a global account. The Service is a digital software-as-a-service (SaaS) product delivered over the internet. EarnTalk is currently in an early-access stage.

2.2 Nature of the Service

The Service is a digital, intangible product. Access is activated immediately after payment confirmation. Because the Service is delivered immediately in digital form, refunds are subject to the specific limitations set out in Section 7.

2.3 Dependence on AI models

The Service relies on third-party artificial intelligence model providers. The performance and availability of the Service may be affected by the operating status of those providers. We will notify users promptly of any major disruption.

3. Account Registration

3.1 Creating an account

Use of the Service requires an account created with accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

3.2 Account security

• If you discover any unauthorized use of your account, contact us immediately at zealen@earntalk.app.
• You must not share your login credentials with any third party.
• Please ensure that the email address used for billing remains valid at all times.

3.3 Business accounts

If you register on behalf of a company or other organization, you represent that you are authorized to bind that entity to this agreement.

4. Fees and Plans

The Service is offered under the plans and prices published on our website or otherwise presented to you at checkout. Fees are charged through our payment processor, Stripe, in the currency shown at checkout.

You may upgrade, downgrade, or cancel a plan at any time through your account settings or by contacting us at zealen@earntalk.app. A plan change takes effect at the time stated at checkout or in your account settings; where a change results in a prorated charge or credit, that amount will be calculated and shown before the change is confirmed.

We may change our fees or plan features from time to time. We will give you reasonable advance notice of any price increase affecting your current plan before it takes effect, and the increase will not apply retroactively to a billing period you have already paid for.

5. Payment

Payments are processed by Stripe. By providing a payment method, you authorize us and Stripe to charge that payment method for the fees applicable to your plan, including recurring charges for each billing period until you cancel.

If a payment fails or is declined, we will notify you and may retry the charge. If payment remains outstanding, we may suspend or limit access to paid features until the amount due is paid. You are responsible for keeping your payment information current.

6. Taxes

Unless otherwise stated at checkout, our fees are exclusive of taxes. You are responsible for any applicable sales, use, value-added, goods and services, withholding, or similar taxes, duties, or governmental charges associated with your purchase and use of the Service, other than taxes based on our net income. Where we are required by law to collect such taxes, they will be added to the amount charged and shown at checkout or on your invoice.

7. Refunds

The Service is a digital service that is delivered and activated immediately after payment confirmation. For that reason, fees paid are generally non-refundable, including fees for a billing period in which you cancel partway through or do not use the Service.

The exceptions are: (a) where a refund is required by applicable law; and (b) where we terminate the Service or your account other than for your breach of these Terms, in which case we will refund the prepaid fees for the unused portion of your current billing period on a pro-rata basis, in accordance with Section 13. Confirmed billing errors are corrected under Section 8.

To request a refund, contact us at zealen@earntalk.app. Approved refunds are issued to the original payment method through Stripe.

8. Billing Disputes

If you believe a charge is incorrect, please contact us first at zealen@earntalk.app before raising a dispute with your bank. We will reply within 2 business days and will resolve confirmed billing errors within 5 business days.

9. AI Content and Intellectual Property

9.1 Ownership of outputs

Subject to your compliance with these Terms, the AI content generated from your inputs (the “Outputs”) belongs to you. You may use the Outputs for any lawful purpose permitted under Section 10.

9.2 License to your inputs

By submitting content to the Service (the “Inputs”), you grant EarnTalk a limited, non-exclusive license to use the Inputs solely to provide the Service to you. We will not use your Inputs to train AI models without your explicit consent.

9.3 Dependence on third-party AI models

The Service uses third-party AI model providers. Outputs may be influenced by those providers’ models. We do not guarantee any particular output quality, and we are not responsible for content generated by third-party models.

9.4 Accuracy of AI outputs

AI-generated content may contain errors or inaccuracies. You are responsible for reviewing and verifying Outputs before relying on them.

10. Acceptable Use Policy

10.1 Permitted use

You may use the Service only for lawful purposes consistent with these Terms, including personal productivity, business automation, and research and development activities.

10.2 Prohibited use

You agree not to use the Service to:

• Generate illegal, defamatory, harassing, or fraudulent content.
• Generate, distribute, or facilitate deepfake content, including AI-synthesized audio, video, or imagery that impersonates a real person or is intended to mislead viewers about its origin or authenticity.
• Generate content that sexualizes minors or violates child-protection laws.
• Create malware, phishing content, or tools for cyberattacks.
• Infringe the intellectual property or privacy rights of any third party.
• Circumvent or interfere with the security features of the Service.
• Resell or sublicense access to the Service without our prior written approval.
• Violate any applicable law, regulation, or card-scheme rule.

10.3 AI-specific prohibitions

In addition to the general prohibitions above, and given the AI nature of the Service, you expressly agree not to:

• Use the Service’s Inputs, Outputs, model responses, or any derivative data to train, fine-tune, benchmark, distill, or otherwise develop any artificial intelligence or machine learning model that competes, directly or indirectly, with the Service or EarnTalk’s products.
• Systematically scrape, extract, or collect model Outputs at scale for any purpose beyond your own authorized use.
• Present AI-generated content as the work of a licensed professional, such as a practicing physician, lawyer, or financial adviser, in any context where doing so could cause harm.

11. Data, Privacy, and Security

Your use of the Service is governed by our Privacy Policy, published at https://www.earntalk.app. Payment card data is handled exclusively by our PCI-DSS compliant payment processor, Stripe, and is never stored on our servers. Account data is retained for 90 days after cancellation, after which it is deleted.

12. Disclaimers and Limitation of Liability

12.1 Disclaimers

The Service is provided on an “as is” and “as available” basis, without warranties of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or the accuracy of AI Outputs.

12.2 AI-generated content disclaimer

AI-generated content disclaimer: AI Outputs from the Service may be inaccurate, incomplete, or out of date. Do not use them as legal, medical, financial, or other professional advice. Always verify AI content with a qualified professional before acting on it.

12.3 Limitation of liability

To the maximum extent permitted by applicable law, EarnTalk will not be liable for any indirect, incidental, consequential, or punitive damages. Our total liability arising out of or relating to the Service is limited to the amounts you paid to us in the 12 months preceding the event giving rise to the claim.

13. Term and Termination

These Terms remain in effect for as long as you use the Service. We may suspend or terminate your account if you materially breach these Terms, engage in suspected fraud, or where required by law. If we terminate the Service or your account other than for your breach, we will refund prepaid fees for the unused portion on a pro-rata basis. You may delete your account at any time by contacting us at zealen@earntalk.app.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, United States of America. Before filing any formal proceeding, please contact us at zealen@earntalk.app so that we can attempt to resolve the dispute informally. Any dispute that cannot be resolved informally will be brought in a court of competent jurisdiction in the State of Wyoming.

15. General Provisions

We may update these Terms from time to time. We will notify you of any material change by email at least 14 days before it takes effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and EarnTalk Inc with respect to the Service.
